Introduction
These Terms of Service govern your access to and use of the ValueChaser AI Labs platform, including all products, reports, and associated services (collectively, the "Services") operated by ValueChaser AI Labs, Inc., a Delaware corporation ("ValueChaser," "we," "us," or "our"). By accessing or using our Services, you agree to be bound by these Terms. If you do not agree, do not use our Services.
1. Eligibility
You must be at least 18 years of age and have the legal authority to enter into a binding agreement on behalf of yourself or the organization you represent. By using our Services, you represent and warrant that you meet these requirements.
2. Description of Services
ValueChaser provides an AI-powered diagnostic and analytics platform that processes uploaded financial and procurement data to produce structured analytical reports, benchmarks, and recommendations. Services include:Company Diagnostics — financial and operational diagnostic reportsProcurement Categorization — spend classification and taxonomy mappingProcurement Insights — savings analysis and supplier intelligenceOutputs are analytical in nature and intended as decision-support tools. They do not constitute professional financial, legal, accounting, or investment advice.
3. Account Registration
Certain features require account registration. You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account. Notify us immediately at contact@valuechaser.ai if you suspect unauthorized access.
4. Payment Terms
One-off reports: Payment is collected via Stripe at checkout before report delivery. A quality validation check is performed on your uploaded data before payment is requested. If your data does not meet the sufficiency threshold, you will not be charged.
Subscription plans: Billed annually as a flat fee. Credit bundles are available for additional report runs. Credits are deducted per report upon successful delivery.
Refund policy: Credits consumed by successfully delivered reports are non-refundable. If a report fails to deliver after payment, contact us at contact@valuechaser.ai and we will resolve it promptly.All payment processing is handled by Stripe. ValueChaser does not store card details on its servers.
5. Data and Privacy
Your use of our Services is also governed by our Privacy Policy, incorporated herein by reference. Key commitments:Your uploaded data is never used to train AI modelsData is processed in-region (EU data on EU infrastructure, US data on US infrastructure)Uploaded files and derived data are deleted on a defined schedule (see Privacy Policy for full retention windows)
6. Intellectual Property
All platform technology, analytical methodology, benchmark logic, report templates, and associated content are the intellectual property of ValueChaser AI Labs, Inc. and are protected by applicable copyright, trademark, and patent laws (including pending patent applications).Report outputs generated from your uploaded data are provided to you for your internal business use. You may not resell, sublicense, or redistribute platform outputs as a standalone product without our prior written consent.
7. Acceptable Use
You agree not to:Upload data you do not have the legal right to processAttempt to reverse-engineer, scrape, or extract ValueChaser's benchmark logic or knowledgebaseUse the Services for any unlawful purpose or in violation of applicable regulationsTransmit malicious code or attempt to compromise platform securityImpersonate any person or organization
8. Limitation of Liability
To the fullest extent permitted by applicable law, ValueChaser AI Labs, Inc. shall not be liable for any indirect, incidental, special, punitive, or consequential damages arising from your use of the Services. Our total aggregate liability for any claim arising under these Terms shall not exceed the total amount you paid to us in the twelve (12) months preceding the claim.
9. Disclaimer of Warranties
The Services are provided "as is" and "as available." We make no warranties, express or implied, regarding accuracy, completeness, fitness for a particular purpose, or uninterrupted availability. Analytical outputs are based on data you provide — output quality is directly dependent on input data quality.
10. Indemnification
You agree to indemnify and hold harmless ValueChaser AI Labs, Inc., its affiliates, officers, directors, employees, and agents from any claims, damages, losses, or expenses (including reasonable attorneys' fees) arising from your use of the Services or your violation of these Terms.
11. Modifications
We reserve the right to update these Terms at any time. Material changes will be communicated via email or a notice on the platform. Continued use of the Services after changes are posted constitutes acceptance of the revised Terms.
12. Governing Law
These Terms are governed by the laws of the State of Delaware, United States, without regard to conflict of law principles.
